ФІНАНСОВІ АСПЕКТИ СОЦІАЛЬНОЇ БЕЗПЕКИ
Оцінка соціального стану українського суспільства свідчить про те, що основні соціальні ризики досягли масштабів, які можуть становити реальну загрозу національній безпеці держави.
Практично за всіма найважливішими соціальними показниками світового цивілізаційного розвитку Україна продовжує перебувати на небезпечній межі. Володіючи значними людськими, територіальними, природними, матеріальними та науково-технічними ресурсами, Україна за останніми даними займає лише 76-те місце у світі за індексом розвитку людського потенціалу. Все це є наслідком не тільки кризових явищ, що супроводжують суспільну трансформацію в Україні, але й недосконалості державного управління процесами соціальної безпеки.Формування та практична реалізація науково обґрунтованої політики у контексті завдань, пов’язаних із забезпечення соціальної безпеки, передбачає, перш за все, з’ясування суті даного поняття, оскільки в наукових виданнях поки що немає єдиної думки щодо його визначення. Використовуючи теоретичні напрацювання з даної проблематики, вважаємо, що соціальна безпека повинна розглядатися як захищеність життєво важливих інтересів особи, сім'ї і суспільства від внутрішніх і зовнішніх загроз. Її об'єкти - усі основні елементи соціальної системи забезпечення якості і рівня життя народу, які регулюються національною політикою.
Стратегія соціально-економічного розвитку нашої країни повинна стати стратегією безпечного і стійкого соціального розвитку, спрямованого на вдосконалення соціальних стосунків, забезпечення рівних можливостей і соціальної консолідації. Це потребує серйозних фінансових ресурсів і вимагає прорахованих, ефективних і обговорених з суспільством нових принципів фінансування соціальної сфери, чіткого уявлення про перспективи її окремих напрямів, перебудови і підвищеної відповідальності уряду.
Життєво важливими інтересами особи і суспільства, що складають основний зміст соціальної безпеки і які можуть і повинні бути першочерговими об’єктами фінансової політики держави, є забезпечення життєвого рівня особи, її розвитку, відтворення, рівноправності та особистої свободи, забезпечення роботою, захист особи від негативного впливу навколишнього природного і соціального середовища.
Забезпечення життєвого рівня включає достатній рівень сукупного доходу, споживання, необхідні житлово-побутові умови. Забезпечення розвитку охоплює можливості доступу людей до базової середньої освіти, професійно- технічної та вищої освіти, до історичних та культурних цінностей, до фізкультури і спорту. Забезпечення відтворення охоплює процеси нормального відтворення людини як біологічного виду та соціальної істоти і передбачає створення умов для народження і виховання дітей, підтримки здоров’я, створення та збереження сім’ї. Забезпечення роботою має включати можливості зайнятості, реалізації своїх професійних навиків, отримання заробітку, який би був адекватний трудовим зусиллям і рівню кваліфікації, можливості забезпечення безпеки і охорони праці. Забезпечення особистої свободи і рівноправності включає вільний розвиток особистості, свободу від постійної тривоги, забезпечення рівних можливостей, свободу від дискримінації тощо. Захист особи від негативного впливу навколишнього природного і соціального середовища передбачає мінімізацію ризиків для людини, пов’язаних з незадовільним станом природного середовища, рівнем злочинності та інших форм прояву антисоціальної поведінки, усунення неприйнятної диференціації майнового стану населення, асиметрії у економічному і соціальному розвитку регіонів, захист від соціальних ризиків, пов’язаних з глобалізаційними процесами.
В системі фінансового регулювання процесами соціальної безпеки чільне місце займає бюджетно-податкова політика. З метою подолання існуючих соціальних загроз, а також їх попередження використовуються різні форми та інструменти фіскального регулювання соціально-економічних процесів. Це, зокрема, мобілізація доходів до бюджетної системи через систему обов’язкових платежів до бюджету та державних цільових фондів; акумулювання державних фінансів через неподаткові форми; фінансування видатків, що здійснюються з бюджетів усіх рівнів на соціальні цілі; бюджетні субсидії, субвенції і дотації на соціальні цілі; бюджетні кредити соціального спрямування; фінансові санкції за порушення фіскального законодавства; збільшення фонду оплати праці в бюджетній сфері; надання пільг окремим верствам населення тощо.
На якість та рівень життя держава може впливати через систему оподаткування як одного з найвпливовіших інструментів фіскальної політики. Це оптимізація податкового тягаря, застосування неоподатковуваного мінімуму доходів громадян, використання екологічних податків, податкові пільги. Зокрема, за допомогою пільг держава має можливість забезпечувати певні параметри соціально-економічної системи, забезпечуючи найбільш важливі соціальні інтереси особи, сім'ї та суспільства. Податкові пільги
використовуються з метою соціальної підтримки та пом’якшення соціальної нерівності.
Основною формою використання державних фінансів як інструменту фіскального регулювання процесів соціальної безпеки є здійснення видатків з державного бюджету, головне призначення яких полягає у структуруванні державних грошових ресурсів навколо завдань, спрямованих на інтеграцію суспільства, збереження його цілісності шляхом нейтралізації існуючих та запобігання виникненню нових соціальних ризиків, на забезпечення рівномірного розвитку усіх сфер життєдіяльності населення країни.
Отже, соціальна безпека є ключовою гарантією збереження і ефективності усіх видів інвестицій в людський капітал. Для її забезпечення потрібні прийняття і виконання високих соціальних зобов'язань держави у рамках комплексної системи соціальних стандартів та відповідні фінансові ресурси. Нова соціальна політика вимагає постійного створення і розширення для суспільства і для кожного громадянина інфраструктури нових можливостей для самореалізації, саморозвитку власних інвестицій громадян у своє майбутнє і майбутнє своєї сім'ї. Для вирішення цих завдань потрібно виходити з абсолютно іншої парадигми: з визнання рівної значущості для суспільства соціальної і економічної політики. І це принципове положення повинно стати базовим при визначенні перспектив подальшого розвитку фінансової системи України.

FINANCING OPPORTUNITIES FOR UKRAINIAN ISSUERS:
BOND OR EQUITY OFFERINGS ON THE FRANKFURT STOCK EXCHANGE
Deutsche Borse, operator of the Frankfurt Stock Exchange (“FSE”) provides for a variety of market segments for equity and debt offerings and is worth considering as listing venue for an initial bond offering (“IBO ”) or IPO of Ukrainian issuers.
Please find below an outline of different opportunities that might be interesting for Ukrainian issuers.Benefits of an international IBO or IPO
Most German exchanges in the past two or three years have introduced special market segments for bond offerings and listings of German small to medium-sized companies, i.e. the German “Mittelstand”, often referred to as the backbone of the German economy. Alone on the Entry Standard for Bonds segment of the FSE twenty corporate bonds from German Mittelstand companies raised between EUR 12m and 150m between April 2011 and 8 October 2012.
The German agribusiness company KTG Agrar successfully placed two corporate bonds thereby raising EUR 50m at the Stuttgart Stock Exchange in 2010 and EUR 70m at the FSE in 2011. In March 2012, the Russian agribusiness group Ekosem raised EUR 50m through a bond offering at the Stuttgart Stock Exchange. Such IBO in the Entry Standard for Bonds segment of the FSE or on a similar segment like the BondM segment of the Stuttgart Stock Exchange may also be an interesting financing alternative for Ukrainian Mittelstand companies who seek for debt capital with a fixed interest rate and a maturity between three to six years - without the current shareholders being diluted as would be the case in an IPO.
While the market environment did not particularly invite companies to float their shares in an IPO in the first three quarters of 2012, better times are to come. Suitable structures include the dual-listing through Global Depositary Receipts (“GDRs”) issued by a depositary bank and representing the shares of a Ukrainian listed corporate and the direct listing of shares or GDRs of a Non-Ukrainian holding company. With a listing on Deutsche Borse, issuers can benefit from one of the most liquid capital markets worldwide (source: World Federation of Exchanges).
Market segments of the FSE
For a listing of their securities on the FSE, issuers may choose between the regulated market (General Standard/Prime Standard) and the merely stock exchange regulated Open Market (Quotation Board/Entry Standard).
The General and the Prime Standard, both regulated market segments, are subject to the transparency requirements of the EU Transparency Directive. The Prime Standard, however, imposes even stricter transparency obligations on issuers than the EU Transparency Directive und is the preferred segment for issuers aiming at a major IPO with an international investor focus.
The Open Market consisting of the Quotation Board and the Entry Standard is regulated by private, not by public law. In the Quotation Board, securities with a primary listing on an exchange recognised by Deutsche Borse may be included for trading. The Entry Standard gives small- to medium-sized issuers a cost-efficient access to the capital markets. Issuers in the Entry Standard undertake towards Deutsche Borse to comply with certain transparency requirements. The Entry Standard for Bonds is a special sub-segment for corporate bonds.
On 8 October 2012, Deutsche Borse published the terms & conditions of its new Prime Standard for Bonds segment. In the Prime Standard for Bonds, corporate bonds can be included for trading which are listed on a regulated market or included for trading in the Entry Standard for Bonds. It targets bonds with an issuing volume of at least EUR 100m or issued by corporates with revenues of at least EUR 300m.
In the regulated markets, issuers can generally tap into a wider investor pool and the liquidity tends to be considerably higher than in the segments regulated merely by the stock exchange. The Entry Standard for Bonds has proved to be very attractive also for retail investors who may subscribe directly through their local bank.
Access requirements
Access to the regulated markets as well as to the Entry Standard is only granted on the basis of a securities prospectus which is approved by the German regulator BaFin or another competent authority in the European Economic Area and passported to Germany. The accounting standard for the securities prospectus is IFRS or, for third country issuers, also an equivalent accounting standard, e.g.
US GAAP. Issuers (HoldCos) domiciled in a member state of the European Economic Area (“EEA”) may also use national EEA member state GAAP for a securities prospectus for the Entry Standard. For equity securities, the historical financial information has to cover the last three financial years. For corporate bonds it is sufficient to show the last two financial years in the securities prospectus.Regulated market
The issuer has to be in existence as an enterprise for at least three years, and at least 25% of the issuer’s shares must be in free-float. Holdings below 5% would be regarded as free-float. In addition, a minimum of 10,000 shares have to be admitted and the expected market value of the shares has to amount to at least EUR 1.25m. For securities other than shares the total nominal amount has to equal at least EUR 250,000.
Open Market
In addition to the approved securities prospectus, the following requirements (effective since 1 July 2012) have to be met for the inclusion of equity securities to trading on the Entry Standard:
■ The issuer has existed as a company for at least two years.
■ The paid-in nominal capital of the issuer amounts to at least EUR 750,000.
■ Minimum (arithmetic) par value of the securities of EUR 1.
■ Minimum free-float of 10%.
■ Free-float is held by at least 30 investors.
■ The issuer
o conducts an operational business, o has a positive equity capital, and
o has made arrangements for an internal risk management system, an internal system for compliance with its transparency obligations, the support of shareholders, investors and analysts, and internal compliance provisions which ensure the issuer’s compliance with applicable law.
The GDR programs of two Ukrainian groups of companies, Mriya and TMM, are currently included for trading in the Entry Standard of the FSE. Both programs were included for trading in the Entry Standard before 1 July 2012 under the “old” regime for the Entry Standard where no securities prospectus was needed for a technical inclusion for trading (not combined with a public offering of securities) in the Entry Standard.
For the Entry Standard for Bonds, an approved securities prospectus is also a requirement. In addition, the denomination may not exceed EUR 1,000 and the bond may not be subordinated. The bond or the issuer must be rated by a rating agency which is either registered as a rating agency in accordance with Regulation (EC) No. 1060/2009 of the European Parliament and of the Council of 16 September 2009 on credit rating agencies or accredited pursuant to §§ 52 and 53 of the Regulation Governing the Capital Adequacy of Institutions, Groups of Institutions and Financial Holding Groups. Most of the ratings of issuers or bonds in the German corporate bond segments have been rated by smaller rating agencies like Creditreform or Euler Hermes and not by the established rating agencies S&P, Moody’s and Fitch. Furthermore, certain key financial figures must be made available. The issuer of the bonds may be listed or unlisted.
Transparency requirements
Regulated market
In the regulated markets issuers have to publish a standalone and, if applicable, consolidated financial report including a management report within four months after the financial year end. If the issuer is listed with shares or corporate bonds on the FSE, in addition, a semi-annual financial report (within two months of the reporting period end) has to be published. Issuers of shares, in addition, have to publish interim management statements. And there is also a disclosure rule for material price- sensitive information. If shares or the shares represented (in the case of GDRs) are admitted to trading on a regulated market, voting rights notifications have to be made by the shareholders and director’s dealings notifications by the directors of the issuer. Certain other disclosure rules deem to ensure that securities holders are informed properly to enable them to exercise their rights.
In the Prime Standard, in addition, quarterly financial statements have to be published by issuers. For GDRs in the Prime Standard, a semi-annual financial report has to be published as well. Furthermore, a financial calendar has to be published and an analyst meeting must be held at least once a year.
Open Market
In the Entry Standard, issuers have to submit and publish their (consolidated) financial statements together with a (consolidated) management report within six months after the end of the reporting period. Furthermore, a semi-annual (condensed) accounts statement and interim management report will need to be submitted and published within three months after the end of the first half-year. And there is also a disclosure rule for certain important corporate events. In addition, issuers have to update and submit their company profile and corporate calendar.
In the Entry Standard for Bonds, issuers have to update certain key financial figures within six months after the end of the reporting period and the company or bond rating.
Summary
Especially the Entry Standard for Bonds segment of the FSE could open an interesting financing alternative for Ukrainian companies to tap into international capital to finance their growth. Through a bond issue, issuers can “test” capital markets without the current shareholders having to accept dilution. In a next step and once capital markets are more stable again, an IPO on one of the segments of Deutsche Borse may also be worth considering as an option.
